1. Scope
These terms apply to every service Vortex Sales Lab ("we") provides to a business client ("you"). We sell to businesses only, not to consumers. The signed proposal or order form ("Order") sets out the details. If the Order and these terms conflict, the Order applies.
2. Our services
We research publicly available online information, select business leads that fit the brief we agree with you, and deliver them with the reason each was chosen. We also hold regular reviews to adjust the search. We do not guarantee a specific number of sales, replies or revenue.
3. Prices and payment
Prices are those stated in the Order, in US dollars (USD), plus taxes unless stated otherwise. Invoices are issued monthly in advance and are due within 15 days. Late payment may pause the service.
4. Term and cancellation
Subscriptions run for the period in the Order and renew automatically, unless either side cancels in writing at least 30 days before renewal. Either side may end the agreement at once if the other seriously breaches it and does not fix the breach within 14 days of notice.
5. Refunds
Leads already delivered cannot be returned. Fees for a period that has already started are not refunded, unless we fail to deliver the service.
6. Your responsibilities
You give us accurate information about your business and target clients, and you use the leads lawfully. That includes following the anti-spam, data protection and marketing laws of the countries you contact, and honouring opt-out requests.
7. Confidentiality and data
Each side keeps the other side's non-public information confidential. Where we process personal data for you, we do so under a data processing agreement and our privacy policy.
8. Liability
Our total liability under an Order is limited to the fees you paid in the 12 months before the claim. Neither side is liable for indirect loss or lost profit. These limits do not apply where the law forbids them.
9. Governing law
These terms are governed by the laws of the country where Vortex Sales Lab is registered, unless the Order says otherwise.
